1. Acceptance of Terms

By accessing or using the website journeyman.digital, booking a call, subscribing to our newsletter, or engaging Journeyman Digital for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this website or engage our services.

These terms apply to all visitors, subscribers, and clients. Additional terms specific to any service engagement will be set out in a separate written agreement or proposal.

2. Services

Journeyman Digital provides digital marketing services including but not limited to:

  • Paid media management on platforms including Google Ads and Meta Ads
  • Pay-per-lead and pay-per-call campaign management
  • Affiliate and performance marketing partnerships
  • Fixed-retainer digital marketing engagements
  • Advertising account audits and strategy consulting
  • Funnel and conversion tracking setup

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate agreement, proposal, or statement of work agreed upon in writing prior to the start of services.

3. No Guarantee of Results

Important: All marketing results depend on factors outside Journeyman Digital's control, including but not limited to market conditions, your business operations, your offer, your sales process, platform algorithm changes, and competitive landscape. No specific outcome, revenue figure, lead volume, or return on ad spend is guaranteed.

Journeyman Digital will apply professional expertise, industry best practices, and reasonable efforts to deliver results aligned with the agreed scope of work. However:

  • Past results achieved for other clients or in affiliate campaigns are not a guarantee of future results for your business
  • Campaign performance depends heavily on factors within the client's control, including the quality of the offer, pricing, landing page, sales team, and responsiveness to leads
  • Platform changes, market shifts, and increased competition may affect campaign performance at any time and are beyond our control
  • Any projections, estimates, or forecasts provided are for planning purposes only and do not constitute a guarantee or warranty of results

Journeyman Digital is not liable for any loss of revenue, profit, leads, or business opportunities arising from the performance or non-performance of advertising campaigns, changes to ad platform policies, or any other factor related to the delivery of marketing services.

4. Client Responsibilities

Where applicable, clients engaging Journeyman Digital for services agree to:

  • Provide accurate, complete, and timely information required to perform the agreed services
  • Grant necessary access to advertising accounts, analytics platforms, and other tools required for campaign management
  • Maintain adequate ad spend budgets as agreed and fund advertising platforms in a timely manner
  • Ensure that all products, services, and offers being advertised comply with applicable laws and platform advertising policies
  • Respond to communications in a reasonable timeframe to avoid delays in campaign execution
  • Maintain a functional sales process capable of handling and closing inbound leads

Journeyman Digital is not responsible for poor campaign outcomes resulting from the client's failure to meet these responsibilities.

5. Payment Terms

Payment terms will be specified in the individual agreement, proposal, or invoice for each engagement. General terms include:

  • Invoices are due within the timeframe stated on the invoice unless otherwise agreed in writing
  • For retainer engagements, payment is due at the start of each billing period
  • For performance-based models (pay-per-lead, pay-per-call), billing cycles and qualifying criteria will be defined in the engagement agreement
  • Late payments may result in suspension of services
  • Ad spend budgets paid directly to advertising platforms (Google, Meta, etc.) are separate from Journeyman Digital's service fees and are the client's responsibility

All fees are non-refundable unless otherwise agreed in writing or required by applicable law.

6. Intellectual Property

All content on this website, including text, graphics, logos, and design, is the property of Journeyman Digital and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

For client engagements: upon full payment, clients receive a license to use deliverables created specifically for them (such as ad copy, landing page content) for their intended marketing purposes. Journeyman Digital retains the right to reference the engagement for portfolio or case study purposes unless the client requests otherwise in writing.

7. Confidentiality

Both parties agree to treat as confidential any non-public business information shared in the course of a service engagement, including but not limited to campaign data, revenue figures, business strategies, and customer information.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Journeyman Digital's total liability for any claim arising out of or relating to these terms or any services provided shall not exceed the total fees paid by the client to Journeyman Digital in the three months preceding the claim.

Journeyman Digital shall not be liable for any:

  • Loss of profits, revenue, or anticipated savings
  • Loss of business, contracts, or opportunities
  • Indirect, incidental, special, consequential, or punitive damages
  • Damages resulting from third-party platform changes, outages, or policy updates (including Google Ads, Meta, or other advertising platforms)
  • Loss or corruption of data

Some jurisdictions do not allow the exclusion of certain types of damages. In such cases, liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Journeyman Digital and its representatives from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

  • Your use of our services or website
  • Your violation of these terms
  • Your violation of any applicable law or the rights of a third party
  • Any content or offers you direct us to advertise on your behalf

10. Termination

Either party may terminate a service engagement in accordance with the terms set out in the individual service agreement. In the absence of a specific agreement:

  • Retainer engagements may be terminated with 30 days written notice by either party
  • Journeyman Digital reserves the right to terminate or suspend services immediately if a client breaches these terms, fails to make payment, or engages in conduct that is unlawful or harmful

Upon termination, the client remains responsible for any fees accrued up to the termination date. Sections covering limitation of liability, indemnification, and governing law survive termination.

11. Governing Law & Disputes

These Terms of Service are governed by and construed in accordance with applicable law. For clients based in the European Union, EU consumer protection laws apply. For clients based in the United States, the laws of the state in which services are primarily performed shall apply.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes may be referred to mediation or arbitration before pursuing formal legal proceedings.

Nothing in these terms limits your rights as a consumer under applicable mandatory consumer protection laws in your jurisdiction.

12. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated date. For ongoing service engagements, material changes will be communicated directly.

Continued use of the website or services after changes are posted constitutes acceptance of the revised terms.
